What is Software Escrow?
Software Escrow is the placing of a copy of the source code version of a computer program along with explanatory technical information and documentation (Deposit) pursuant to the terms of an agreement (Escrow Agreement) with a trusted third party (Escrow Agent) to be held by the Escrow Agent until the occurrence of a specified event, whereupon the Deposit (or acopy of it) is released as directed in the Escrow Agreement.

The software escrow agent is Lincoln-Parry. Escrow Agreement No. 7189. The InfoTech Marketing, Inc. agreement is a Multi User Plan dated November 20,2001. All licensees of the software are separately listed as a beneficiary.
